This paper sets out some of the most significant features of debt-to-equity swap, a vital financial restructuring measure for capital companies. Similarly, it addresses several doctrinal debates regarding its legislative characterization and its classification within the corresponding legal category, given the significant legal consequences arising therefrom. Finally, the study is supplemented by various considerations from both a financial and tax perspective.
